1. Agreement and eligibility
These Terms of Service (the "Terms") are an agreement between Iron Peak Technologies LLC ("Iron Peak," "we," "us," or "our") and the person or organization using Form Command (the "Customer," "you," or "your"). By creating an account, starting a subscription, or using the service, you agree to these Terms and our Privacy Policy.
You must be at least 18 years old and able to enter into a binding agreement. If you use Form Command for a company or other organization, you represent that you have authority to bind it.
2. Form Command
Form Command is a hosted software service that assists with concrete formwork planning. It can store construction drawings, interpret supported DXF geometry, organize wall runs and pours, apply form inventory information, and produce planning and field-facing outputs. Supported formats and features may change as the service evolves.
We grant you a limited, nonexclusive, nontransferable right to access and use the service during an authorized trial or paid subscription for your internal business purposes, subject to these Terms.
3. Accounts and authorized users
You are responsible for accurate account information, maintaining the confidentiality of credentials, and activity under your account. Notify us promptly at support@formcommand.app if you suspect unauthorized access.
You are responsible for deciding who may use your account or workspace and for ensuring that each user is appropriately qualified and authorized. You may not share credentials with unauthorized people, impersonate another person, or use the service for an organization without permission.
4. Customer data and ownership
You retain your rights in drawings, project details, job information, form inventory, corrections, notes, and other information that you or your authorized users submit to Form Command ("Customer Data"). You grant us a limited license to host, copy, back up, process, transmit, and display Customer Data as necessary to operate, secure, support, and improve the service and meet our legal obligations.
You represent that you have the rights and permissions needed to provide Customer Data, including construction drawings and information belonging to clients, owners, designers, contractors, or other third parties. You are responsible for its accuracy, legality, and appropriate use.
Iron Peak and its licensors retain all rights in Form Command, its software, design, documentation, branding, algorithms, and related intellectual property. No rights are granted except those expressly stated in these Terms.
5. Construction planning responsibilities
Form Command is a planning aid, not an engineering or safety service. Generated geometry, quantities, layouts, pour plans, sequences, field plans, warnings, and other outputs may be incomplete or incorrect and must be reviewed before use.
You are responsible for verifying source drawings, dimensions, units, wall geometry, heights, form inventory, quantities, connections, sequencing, site conditions, and every generated output. Review must be performed by personnel qualified for the applicable project and jurisdiction before procurement, fabrication, erection, placement, or other field use.
Form Command does not replace professional engineering, stamped or approved plans, temporary-works design, manufacturer instructions, competent-person review, safety planning, field measurements, field judgment, or compliance with contracts, codes, regulations, permits, and site-specific requirements. You remain responsible for construction means and methods and for stopping work when information is uncertain or conditions differ from the plan.
6. Acceptable use
You may not use Form Command to violate law or another person's rights; upload malicious code; probe, disrupt, overload, or bypass service security; reverse engineer the service except where law expressly permits it; access the service through unauthorized automated means; resell or sublicense access; or use the service to develop a competing product through unauthorized copying.
We may investigate suspected misuse and take proportionate steps to protect the service, customers, and third parties.
7. Third-party services
Form Command relies on service providers, including Stripe for hosted Checkout and subscription management, Google reCAPTCHA for abuse prevention, Amazon SES for outbound application email, and hosting and infrastructure providers. Their independent services are governed by their own terms and privacy policies.
Payment-card information is entered directly in Stripe-hosted interfaces and is not stored by Form Command. We receive billing identifiers, subscription status, and related information needed to administer access and support.
8. Trial, subscription, and payment
Standard monthly plans are Starter at $499, Professional at $799, and Business at $1,199. Eligible new accounts receive one 14-day free trial. A payment method is required. Unless canceled before the trial ends, the selected subscription converts to paid service and automatically renews monthly until canceled. Returning accounts that have already used a billing trial do not receive another trial and billing begins when Checkout is completed.
Plan capacity and the price applicable to your account are shown before Checkout. An administrator-approved private rate or a separately agreed arrangement may apply instead of a public plan. You authorize Stripe and us to charge the payment method associated with your subscription for recurring fees and applicable taxes. Fees are charged in U.S. dollars.
We may change pricing prospectively with notice required by applicable law. If payment fails, Stripe may retry collection. Access may be restricted or ended if a subscription becomes unpaid, canceled, paused, incomplete, or otherwise ineligible.
9. Cancellation and refunds
You can manage and cancel an eligible subscription from Account Settings through the Stripe Customer Portal. Cancel before the displayed trial end to avoid the first charge. When Stripe schedules cancellation for the end of the current period, billing access ordinarily continues through the displayed trial or paid-period end and the subscription will not renew. If Stripe records an immediate or final cancellation, billing access may end then.
Except where required by law or expressly approved by us, charges are nonrefundable and we do not provide prorated credits for unused time. See the Refund and Cancellation Policy for details.
10. Availability, changes, and backups
We work to keep Form Command available and secure, but the service may be interrupted for maintenance, updates, provider outages, security events, or circumstances beyond our reasonable control. We do not promise uninterrupted or error-free operation.
You are responsible for maintaining independent copies of drawings, approved plans, field instructions, and records needed for your work. Form Command is not a system of record for emergency, life-safety, legally required, or project-controlled construction documentation.
11. Suspension, termination, and data
You may stop using the service at any time, but stopping use does not itself cancel billing. We may suspend or terminate access for material breach, unlawful or dangerous use, security risk, nonpayment, or where required by law. When practical, we will provide notice and an opportunity to cure a remediable breach.
Canceling a subscription does not automatically delete the account, projects, uploaded files, or associated records. You may request deletion through support. We may retain billing, security, communications, legal, dispute, and backup records where reasonably necessary or required, as described in the Privacy Policy.
12. Disclaimers
To the maximum extent permitted by law, Form Command is provided "as is" and "as available." We disclaim implied warranties of merchantability, fitness for a particular purpose, title, and noninfringement. We do not warrant that the service or any output will be accurate, complete, code-compliant, suitable for a specific project, accepted by an engineer or authority, or free from interruption, error, loss, or unauthorized access. Some jurisdictions do not allow certain disclaimers, so parts of this section may not apply to you.
13. Limitation of liability and indemnity
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, data, project delay, rework, material loss, or field costs arising from these Terms or the service, even if advised that such damages were possible.
To the maximum extent permitted by law, Iron Peak's aggregate liability arising from these Terms or Form Command will not exceed the fees you paid for the service during the 12 months before the event giving rise to the claim. These limits do not apply where liability cannot lawfully be limited.
You will defend and indemnify Iron Peak from third-party claims arising from your Customer Data, your unlawful or unauthorized use, your use of unverified outputs in design or field work, or your material breach of these Terms, except to the extent caused by our own breach or misconduct.
14. General terms
Wisconsin law governs these Terms, without regard to conflict-of-law rules. Subject to rights that cannot lawfully be waived, disputes will be brought in state or federal courts located in Wisconsin, and each party consents to their jurisdiction.
Neither party is liable for delay caused by events beyond its reasonable control. You may not assign these Terms without our consent except in connection with a permitted merger or sale of substantially all relevant assets. If a provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will continue.
These Terms, the Privacy Policy, and the Refund and Cancellation Policy form the agreement concerning Form Command.
